Affiliate / Reseller Agreement for CyberMontana Inc. / SpiderTools.com

This Affiliate/Reseller Agreement describes the rights and obligations of CyberMontana Inc. and SpiderTools.com with the affiliate/reseller. By becoming an affiliate/reseller, you agree to each of the terms and conditions set forth below. If you do not agree with any of these terms, please discontinue the registration process and contact us with your concerns.

Approval and Authority: We reserve the right to reject any affiliate/reseller if we determine, in our sole discretion and following our review of your site, that your site is unsuitable for any reason, including, but not limited to, inclusion of content that is in any way unlawful, harmful, threatening, defamatory, obscene, harassing, or racially, ethnically, or otherwise objectionable, or that includes or promotes sexually explicit materials, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation or age.

Acceptance into the Program: Your application to the affiliate/reseller program will be evaluated against minimum criteria for participating members. A review of the web site or business used to sell our products is a requirement of the program. Please note that we are only likely to approve websites with complementary content. You will be notified as soon as possible as to the acceptance or rejection of your application. We may reject any application if we determine, in our sole discretion, and following our review of your site, that your website or business is unsuitable for any reason, including, but not limited to, the following:

· Web site is not of suitable content. Content of web site is in any way unlawful, harmful, threatening, defamatory, obscene, harassing or racially, ethnically or otherwise objectionable.

· Web site includes or promotes sexually explicit materials, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation or age.

· Web site misrepresents SpiderTools or SpiderTools products. Involvement in the Program will not be permitted prior to acceptance, or following rejection, of your application. We reserve the right to terminate the agreement, following acceptance of your application, if we thereafter determine, in our sole discretion, that your site is unsuitable for the Program. Upon the termination of this Agreement for any reason, you will immediately cease use of, and remove from your site, all links to SpiderTools.com. We reserve the right to revise the criteria for Content Partner Sites as and when necessary.

What We Agree to Do:
1. Process every order within 24 hours - exceptions may be weekends/Holidays or server downtime, which is very rare.
2. Replace any defective CDs at no charge
3. No Hassle return policy - if for any reason the customer wants to return the CDs, if returned in 10 days no questions asked with a full refund. Monthly payout to any affiliate/reseller - regardless of how much earned, the affiliate/reseller will be paid any balance owed by the 10th of each month.

What the Affiliate/Reseller Agrees to Do:
1. Process customer orders - the affiliate/reseller will process the customer order and method of payment and then place the order with SpiderTools using their affiliate/reseller number for the discounted price. At that point SpiderTools will ship to the customer.
2. Or…Customer Orders from SpiderTools using the affiliate/reseller number - in this process the Customer will order for the normal price and SpiderTools will then make the payment to the affiliate/reseller by the 10th of the month.
3. Notify SpiderTools of any defective CDs or customers requesting a refund - SpiderTools will pay for any defective CDS, the refund will come from the funds owed the affiliate/reseller

Email Promotion: You may not, at any time, use any link to spidertools.com in any email promotion, or the name SpiderTools in any email promotion whether it is solicitated or not. We will vigorously pursue all legal avenues to stop the use of email solicitation.
Termination: Violation of the above email promotion provision, of any law relating to email promotional activities, CyberMontana Inc./SpiderTools.com's copyright or other legal rights, or any other section of these terms and conditions is grounds for immediate removal from the program.

Deliberate breach of these terms and conditions shall invalidate this agreement and render the affiliate/reseller ineligible to continue the association with SpiderTools. It is your responsibility to ensure that you comply with these terms and conditions at all times.

Variation: We reserve the right to alter these Terms and Conditions as necessary with or without notice. Changes to the Terms and Conditions shall be posted to this web page. Content Partners agree to be bound by the then current Terms and Conditions throughout their participation in the Program. Copyright All website design, text, graphics, the selection and arrangement thereof, and all software compilations, underlying source code, software (including applets) and all other material on this Web site are copyright Cybermontana Inc. and SpiderTools.com, or their content and technology providers. ALL RIGHTS RESERVED. The exception is of any Linux operating systems which are under the GPL including Linux and Mandrake. Any use of web site materials on this website - including reproduction for purposes other than ordering, modification, distribution, or republication - without the prior written permission of SpiderTools is strictly prohibited.
